2.2 GRININFOTECH GLOBAL SOFTWARE SERVICES PRIVATE LIMITED reserves the right to subcontract any portion of the Services, ensuring the same level of quality and professionalism.
2.3 The contents of the Website and the Services are proprietary to Us and you will not have any authority to claim any intellectual property rights, title, or interest in its contents.
Fees and Payment
3.1 Client agrees to pay the fees as outlined in the project proposal or agreement. Payment terms, including milestones and due dates, will be specified in the agreement.
3.2 Late payments may be subject to interest charges. GRININFOTECH GLOBAL SOFTWARE SERVICES PRIVATE LIMITED retains the right to suspend or terminate services for non-payment.
3.3 You understand that upon initiating a transaction for availing the Services you are entering into a legally binding and enforceable contract with the us for the Services.
Intellectual Property
4.1 Grin Technologies retains ownership of all intellectual property rights associated with the Services, including designs, code, and other deliverables, unless otherwise agreed in writing.
4.2 Upon full payment, GRININFOTECH GLOBAL SOFTWARE SERVICES PRIVATE LIMITED grants the client a non-exclusive, royalty-free license to use the deliverables for their intended purpose.
Client Responsibilities
5.1 Client agrees to provide necessary information, materials, and approvals in a timely manner to facilitate the timely delivery of the Services.
5.2 Delays caused by client actions may result in project timeline adjustments, and additional fees may apply for extended project durations.
5.3 All disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Nagpur, Maharashtra.
